Recurring plan terms

These terms apply to the six Core and Growth plans. They restate the approved commercial rules for checkout. They are not a substitute for a lawyer-stamped MSA or Terms of Service. Personal-data handling is described in the Privacy Policy.

Exact legal drafting of the MSA and Terms of Service remains deferred. The commercial rules below are Founder-approved and must not be weakened for drafting convenience.

Who these terms cover

These terms cover the six Dicho Agency Core and Growth plans: Website Core, Website Growth, Social Core, Social Growth, Business Clone Core, and Business Clone Growth. The seller is Dicho Agency. Enterprise, Paid Media, and separately scoped project or production work are not these plans. English is the contracting language for the current BUY NOW flow. Spanish may be used for marketing, informational content, and customer assistance. Spanish is not an authorized contracting or checkout language for this flow.

Business purpose

BUY NOW is for companies, organizations, entrepreneurs, sole proprietors, independent professionals, solo operators, and other purchasers acquiring Dicho services primarily for business or professional purposes. A one-owner business is still a business-purpose purchase. These plans are not intended for purchases primarily for personal, family, or household use.

Term

The initial term is 90 days, billed as three paid monthly periods. After the initial term, the plan continues month-to-month until cancelled under these terms.

Cancellation and notice

After the initial term, you must give 30 days’ written notice. Valid written notice is email to legal@dicho.agency, or certified mail to 30 N Gould St Ste N, Sheridan, WY 82801. Email notice is deemed given when Dicho’s mail server accepts the email. Certified-mail notice is deemed given on its delivery date. You must keep a current notice or contact email with Dicho. Contractual periods, business days, and notice deadlines use America/Los_Angeles. A business day is Monday through Friday excluding U.S. federal holidays observed in California. Cancellation takes effect at the end of the then-current paid period that covers that notice. During the initial term, a customer cancellation takes effect at the end of the initial term. There is no convenience termination mid-term. The Wyoming mailing address is for contractual notice only. It does not, by itself, set governing law, venue, or tax nexus.

First charge

The first monthly fee is charged at checkout. Recurring billing follows that charge date. Stated prices exclude applicable taxes.

Eligibility before service

Post-purchase eligibility confirmation is required before the operating cadence starts. Payment does not activate service automatically. Target confirmation is within 5 business days of the first successful charge, or within 10 business days if access or inputs are still outstanding. The operating start date is the later of the first successful charge and eligibility confirmation plus receipt of required access and inputs. Dicho begins baseline and onboarding within 10 business days of receiving required access.

Customer delay

Customer delay of more than 14 days after a written access or input request does not pause the paid term unless Dicho agrees in writing. Delay caused by Dicho extends the operating start. It is not a refund.

What the first period buys

The first period is earned when eligibility is confirmed and onboarding or baseline begins. It is not a trial. It is not a setup fee. It does not require a published deliverable to be earned. Eligibility review is not onboarding or baseline. Eligibility review does not, by itself, earn the first period or eliminate an otherwise available unused-first-period refund.

Unsuitable plan

A purchased Core or Growth plan is unsuitable only when Dicho, acting reasonably after eligibility review, determines that the purchased entitlement cannot be delivered in the customer’s actual environment without material work outside the purchased envelope, such as stabilization, migration, replatforming, unsupported-technology remediation, large content import, brand-foundation work, source or archive cleanup, or equivalent material prerequisite work. Unsuitability is not a customer convenience exit, a results guarantee, or permission for a customer to self-declare the plan unsuitable. If the plan is unsuitable, Dicho follows this order: (1) re-scope to the correct Core or Growth plan and charge or credit the price difference; (2) convert the first-period fee to a 90-day credit toward required qualifying project work, and do not start the recurring envelope until that project is complete or waived in writing; (3) if Dicho cannot deliver the purchased entitlement and you decline the alternative, cancel and refund the unused first period. There is no silent fourth outcome. Dicho will not silently fulfill a cheaper or narrower envelope while charging the purchased plan, except by written agreement.

Unused first period

The first period is unused only when eligibility review has occurred or Dicho has determined the plan cannot be delivered, and onboarding or baseline has not begun. “Work beyond eligibility review” means onboarding or baseline beginning. Once onboarding or baseline begins, the first period is earned and is not unused.

Refunds

The first charge is refunded in full if Dicho determines the purchased plan cannot be delivered, no mutually accepted alternative is chosen, and the first period is unused as defined above. There is no refund for completed or started months after onboarding or baseline begins. There is no refund for customer delay, change of mind, or results including rankings, traffic, leads, revenue, or audience. There is no satisfaction guarantee and no guaranteed outcomes.

Written agreement

For re-scope, credit, waiver, pause, or other approved exception, written agreement means email from an authorized customer contact that Dicho accepts or confirms, or a signed written document. A verbal statement alone is not a written agreement. An ordinary Stripe Checkout action or generic portal click does not modify these terms unless that interface expressly implements an authorized written-agreement mechanism.

Pauses

An approved pause pauses both the operating cadence and billing. During the initial 90-day term there is no customer convenience pause. Exceptions already recognized are force majeure, delay caused by Dicho, or an express written Dicho exception. After the initial term, you may request up to 30 days of pause per rolling 12-month period. The request must be submitted at least 14 days before the requested pause start, by written agreement. Dicho records the approval, dates, and operating record. Silence is not approval. An approved pause is not a refund. Pause is operator-managed. There is no automated self-serve pause in Stripe Checkout or the Customer Portal today.

Force majeure

Force majeure means events beyond a party’s reasonable control that prevent performance, including fire, flood, earthquake, epidemic, war, terrorism, government action, material utility or backbone internet failure, and failure of a third-party platform materially required for the subscribed service. Lack of funds, ordinary staffing problems, or change of mind is not force majeure. Force majeure does not independently create a refund right or a convenience-termination right.

Failed payments

Dicho or its payment processor may retry failed charges. If an amount remains unpaid 7 days after the failed charge, Dicho may suspend the operating cadence. If it remains unpaid 14 days after the failed charge, Dicho may terminate the subscription. Amounts due through termination remain payable. Reactivation, if offered, requires payment of the outstanding balance and a new eligibility confirmation. Reactivation is not a new 90-day initial term unless Dicho says so in writing.

Taxes

Prices exclude applicable taxes. Dicho will collect taxes where required.

How to give cancellation notice

Today, cancellation or non-renewal notice is given by email to legal@dicho.agency or by certified mail to 30 N Gould St Ste N, Sheridan, WY 82801. A future Manage subscription flow — request cancellation / give notice, then confirmation of the contractually permitted effective date — is approved for later implementation. It is not available yet. Submitting notice does not override the 90-day initial commitment and does not create immediate convenience termination. After the initial term, 30 days’ written notice still applies. Stripe termination occurs at the proper contractual time, not at the moment notice is submitted.

Instrument hierarchy

These Recurring Plan Terms govern the six Core and Growth subscriptions. The Privacy Policy at /privacy governs personal-data handling. A future MSA may control where it expressly provides that it supersedes these Recurring Plan Terms. This hierarchy is legal-review language. It is not a new commercial rule and does not change the approved Core/Growth commercial outcomes.

Onboarding versus separately scoped work

Standard onboarding, baseline, first priority plan, and eligibility review are included for an eligible environment. There is no separate setup fee on Core or Growth. Material stabilization, migration, replatform, unsupported technology, large content import, brand-foundation work, or source-archive cleanup is a separately scoped project. Recurring service does not begin, or continues only as coordination around that project, until the project is complete or waived in writing. The first-month subscription fee is not payment for that project. If recurring work has not started, that fee may be held as a 90-day credit toward the correct plan or required project.

What these plans do not include

No trial. No free months. No annual prepay discount. No guaranteed results. No unlimited work. No 24/7 support or fixed response clocks unless a later written SLA says otherwise. Digital Spokesperson is not included in any Business Clone plan. Ad spend is never included in Dicho fees unless a later written approval says otherwise.

Privacy and data handling

The Privacy Policy is published. These items remain for counsel on retention and related rights. The repository cookie/analytics inventory is complete for current code.
  • Payment processing

    Stripe handles payment-card processing. Dicho must not store full PAN/CVC.

  • Purchase records

    Dicho stores only the Stripe and purchase-state identifiers needed for transaction reconciliation and idempotency. Purchase records do not activate service. Retention remains subject to formal legal and accounting review. Do not invent a deletion policy that conflicts with accounting, fraud, tax, contractual, or transaction-record requirements.

  • Eligibility inputs

    Eligibility inputs and customer materials are customer-confidential and used for eligibility and delivery. They are not a service-activation trigger.

  • Spanish legal text

    English is the contracting language for the current BUY NOW flow. Spanish remains available for marketing, information, and assistance. A counsel-approved Spanish contracting text has not been authorized. Do not treat Spanish marketing as a Spanish checkout contract.

  • Analytics and cookies

    The Privacy Policy is published at /privacy. The repository inventory found no advertising pixels, session-replay tools, or third-party analytics SDK. Additional production cookie or analytics tools must not be claimed until they exist in the implementation.

Remaining attorney and operator decisions

  • Governing law and venue. The Sheridan, WY notice address does not decide them.
  • Formal legal review of force-majeure wording.
  • Tax classification of the six recurring services; California, Wyoming, and other nexus; registration/collection thresholds; whether Stripe Tax or another mechanism should collect. Stripe Tax is not enabled by default.
  • Whether counsel-approved Spanish Recurring Plan Terms will ever be authorized as a contracting flow.
  • Retention schedule and CCPA/CPRA applicability of the published Privacy Policy.
  • If analytics, pixels, session replay, CRM, email, or AI APIs are later added to this app, update the inventory and Privacy Policy before expanding production privacy claims.
  • Automatic-renewal / Click-to-Cancel compliance of the 90-day lock and future Manage-subscription notice UX.
  • Limitation of liability, indemnification, and jury waiver (not in commercial policy).
